To be an authorized affiliate of Renderhosting, you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering as an affiliate. By signing up for this affiliate program, you indicate your acceptance of this agreement and its terms and conditions.

1. The basics
You will earn a referral commission by referring customers to us through a link or banner on your web site. Referrals will be counted when the customer purchases a service with us. We will track referrals, and you accept the results of our tracking.

2. Your obligations
You will provide accurate contact details to us, and will keep your contact details in our system up-to-date, including the contact name, e-mail address, and phone number.
<br /><br />
You will comply with all local, state and federal laws concerning the sending of e-mails. We have a very strict anti-spam policy, and sending unsolicited mails is grounds for immediate termination from the program and forfeiture of any accrued earnings.
<br /><br />
You are an independent entity, and not an employee or agent of ours, nor may you claim to be one.
<br /><br />
You will not place or allow any content on your site that is violent, discriminatory, illegal, or "adult only" content, material infringing trademarks of a third party, or material that is threatening or obscene.
<br /><br />
3. Referral fees
We will pay you a referral fee, as described on this site, for purchases by customers referred from your affiliate link. You are responsible for maintaining the link that we make available to you.
<br /><br />
Referral fees are applicable only for customers brought to our service through your affiliate link. If multiple affiliates send the same customer, the last affiliate link is the one that will be eligible for a referral fee.
<br /><br />
Referral fees are added to your balance 30 days after the purchase. No fees are paid for refunded or terminated accounts.
<br /><br />
Transaction fees, if any, of the referral commission are your responsibility.
<br /><br />
4. Violations
Any attempt to undermine, slander, libel, threaten or cause harm to our customers, employees, subcontractors, owners, and property, or to the company directly, is grounds for immediate termination without payment of any accrued funds. Any attempt to cheat our tracking system, or willful referral of customers whose purchases we determine to be fraudulent, is grounds for immediate termination without payment of the accumulated funds.

5. Indemnification
You agree to indemnify, defend and hold harmless Renderhosting, a division of Sudjam, LLC, its subsidiaries and other affiliated companies, its officers, directors, employees and agents from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms of Use.

6. Privacy
We collect various personal information about our affiliates during the registration process, which may include but is not limited to: affiliate's full name, postal address, phone and fax number, tax identification or Social Security number, and e-mail address, so that we can administer this affiliate program. We will not share, rent, or sell this information to third parties for any purpose.

7. Disclaimer
We may change these terms and conditions at any time, in our sole discretion. Any changes will be effective immediately when posted to this site or when sent to your e-mail address on file with us.

We reserve the right at our sole discretion to refuse or cancel service.

8. Limitation of liability
YOU AGREE THAT WE SHALL NOT BE LIABLE FOR ANY (1) SUSPENSION OR LOSS OF THE SERVICE(S), (2) USE OF THE SERVICE(S), (3) INTERRUPTION OF SERVICES OR INTERRUPTION OF BUSINESS, (4) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO OUR WEB SITE(S) OR SERVICE(S); (5) LOSS OR LIABILITY RESULTING FROM ACTS OF OR EVENTS BEYOND OUR CONTROL (6) DATA NON-DELIVERY, MIS-DELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION; (7) LOSS OR LIABILITY RESULTING FROM THE UNAUTHORIZED USE OR MISUSE OF YOUR ACCOUNT. WE ALSO WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE DISPUTED SERVICE, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS LESS. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Parties
"You" refers to the person or company seeking to become our affiliate. You warrant that you are legally able to enter into this agreement. "We" refers to Renderhosting, a division of Sudjam, LLC.
<br /><br />
10. Jurisdiction
Regardless of the place of signing this agreement, you agree that for purposes of venue this contract was entered into in Bergen County, New Jersey in the United States, and any dispute will be litigated or arbitrated there.

The numbering and headings in this agreement are for convenience only.
